Terms of Service

These Terms of Service (“Terms”) govern access to and use of the online platform, portal, website, software, tools, reports, dashboards, APIs, services, data outputs, artificial intelligence features, verification tools, due diligence workflows, and related services provided by Fact Finders Pro, LLC, a Delaware limited liability company (“FFP,” “Company,” “we,” “us,” or “our”).

By creating an account, registering a profile, accessing the portal, clicking “I Agree,” uploading information, submitting a company or investment opportunity for review, or otherwise using the Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

If you do not agree to these Terms, you must not access or use the Services.

1. Description of Services

FFP provides an AI-powered due diligence and decision-intelligence platform designed to assist users with evaluating companies, investments, founders, counterparties, transactions, and related opportunities.

The Services may include, without limitation:

  • company and founder profile creation;
  • document collection, storage, and analysis;
  • automated verification workflows;
  • fraud, risk, background, and inconsistency checks;
  • financial, legal, technology, intellectual property, market-size, and competitor evaluation modules;
  • scoring, suitability, and risk-ranking tools;
  • dashboards, analytics, reports, and alerts;
  • third-party data integrations;
  • AI-generated summaries, insights, recommendations, and outputs;
  • subscription-based or transaction-based access packages.

The Services are intended to support due diligence and decision-making. They are not a substitute for independent professional judgment, legal advice, financial advice, investment advice, accounting advice, tax advice, or regulatory compliance review.

2. Eligibility

You may use the Services only if you:

  • are at least 18 years old;
  • have the legal authority to enter into these Terms;
  • are not prohibited from using the Services under applicable law;
  • provide accurate and complete registration information;
  • use the Services only for lawful business or professional purposes.

If you use the Services on behalf of a company, fund, investor, startup, institution, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

3. Account Registration and Profile Creation

To access certain Services, you may be required to create a user profile or account.

You agree to:

  • provide accurate, current, and complete information;
  • promptly update your account information if it changes;
  • maintain the confidentiality of your login credentials;
  • be responsible for all activities under your account;
  • immediately notify FFP of any unauthorized access or suspected security breach.

FFP may suspend or terminate your account if we believe that information provided is inaccurate, misleading, fraudulent, unauthorized, or violates these Terms.

4. User Types

The Services may be used by different categories of users, including:

  • investors;
  • venture capital firms;
  • private equity firms;
  • angel investors;
  • founders and startups;
  • enterprise customers;
  • other authorized users.

Different user types may have different access rights, obligations, subscription plans, verification requirements, and permitted uses.

5. User Responsibilities

You are solely responsible for:

  • the accuracy, legality, and completeness of information you provide;
  • ensuring you have all necessary rights, consents, and authorizations to upload, submit, or share information through the Services;
  • independently verifying any reports, scores, outputs, alerts, or recommendations generated by the Services;
  • making your own investment, legal, business, financial, or compliance decisions;
  • complying with all applicable laws, rules, regulations, contractual obligations, and fiduciary duties.

You agree not to rely solely on the Services when making investment or business decisions.

6. No Investment, Legal, Tax, Accounting, or Financial Advice

FFP does not provide investment advice, tax advice, accounting advice, broker-dealer services, investment banking services, credit ratings, securities recommendations, or fiduciary services.

Any scores, reports, alerts, risk indicators, suitability analysis, verification results, fraud checks, AI outputs, or other information provided through the Services are for informational and decision-support purposes only.

You acknowledge and agree that:

  • FFP does not recommend whether you should invest in, acquire, fund, partner with, or transact with any person or entity;
  • FFP does not guarantee the success, suitability, profitability, legality, or safety of any investment or transaction;
  • you must consult your own legal, financial, tax, accounting, investment, and compliance advisors before making decisions;
  • you remain solely responsible for all decisions made using or relating to the Services.

7. AI-Generated Outputs and Automated Analysis

The Services may use artificial intelligence, machine learning, automated scoring, natural language processing, third-party data, and rule-based systems to generate outputs.

You understand and agree that AI-generated outputs may:

  • contain errors, omissions, inaccuracies, or outdated information;
  • be based on incomplete, incorrect, or biased input data;
  • require human review and professional validation;
  • not reflect all facts, risks, legal obligations, or business considerations;
  • produce different results over time as models, datasets, or algorithms change.

FFP does not warrant that AI-generated outputs will be accurate, complete, reliable, legally sufficient, or appropriate for your specific use case.

You are responsible for reviewing and validating all outputs before relying on them.

8. Verification and Third-Party Data

The Services may rely on information from users, public sources, private databases, third-party providers, data partners, APIs, credit or business information providers, government records, corporate records, financial data sources, and other external sources.

FFP does not control all third-party data sources and does not guarantee that third-party data will be accurate, complete, current, available, or error-free.

You acknowledge that:

  • verification results depend on the quality and availability of underlying data;
  • certain information may be unavailable, incomplete, delayed, or inaccurate;
  • third-party sources may impose additional restrictions;
  • access to certain data may depend on your subscription plan, authorization, consent, or applicable law.

FFP may add, remove, change, or suspend third-party integrations at any time.

9. User Content

“User Content” means any information, documents, data, materials, files, communications, business records, financial statements, contracts, founder information, company information, personal information, transaction details, or other content uploaded, submitted, transmitted, or made available by you through the Services.

You retain ownership of your User Content, subject to the rights granted to FFP under these Terms.

You grant FFP a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, display, analyze, use, reproduce, modify, and create derivative works from User Content solely as necessary to:

  • provide the Services;
  • generate reports, scores, analytics, and outputs;
  • operate, secure, maintain, and improve the platform;
  • comply with applicable law;
  • enforce these Terms;
  • prevent fraud, misuse, security threats, or illegal activity.

FFP’s use of personal information is governed by the Privacy Policy.

10. Consent to Process and Share Information

By uploading, submitting, or authorizing the use of User Content, you represent and warrant that you have obtained all necessary rights, permissions, consents, and authorizations required for FFP to process such information.

This includes, where applicable, consent from founders, employees, officers, directors, shareholders, applicants, consumers, counterparties, portfolio companies, or other individuals whose information is submitted to or processed through the Services.

You agree not to upload personal information, confidential information, consumer information, financial information, or sensitive information unless you have a lawful basis and all required consents to do so.

11. Privacy Policy

Our collection, use, disclosure, retention, and protection of personal information is described in our Privacy Policy.

By using the Services, you acknowledge that you have read and understood the Privacy Policy and agree that your personal information may be handled as described there.

If there is a conflict between these Terms and the Privacy Policy regarding personal information, the Privacy Policy will control with respect to such personal information.

12. Confidentiality

Each party may receive confidential or proprietary information from the other party.

“Confidential Information” includes non-public business, financial, technical, legal, product, customer, investor, company, pricing, security, and operational information, including User Content and platform outputs that are not publicly available.

Each party agrees to:

  • protect Confidential Information using reasonable care;
  • use Confidential Information only for purposes permitted under these Terms;
  • not disclose Confidential Information to third parties except as authorized or legally required;
  • limit access to personnel, contractors, advisors, and service providers who need to know the information and are bound by confidentiality obligations.

Confidentiality obligations do not apply to information that is publicly available, independently developed, lawfully received from a third party, or required to be disclosed by law.

13. Permitted Use

You may use the Services only for lawful business, investment, diligence, compliance, analytical, or professional purposes consistent with these Terms.

You agree not to:

  • use the Services for unlawful, fraudulent, deceptive, harmful, discriminatory, or abusive purposes;
  • submit false, misleading, incomplete, or unauthorized information;
  • impersonate another person or entity;
  • interfere with or disrupt the Services;
  • reverse engineer, decompile, scrape, crawl, copy, or misuse the platform;
  • attempt to bypass access controls, security measures, rate limits, or subscription restrictions;
  • use the Services to make fully automated decisions about individuals without legally required human review;
  • use outputs as the sole basis for denying opportunities, investments, employment, credit, insurance, housing, or other legally protected benefits;
  • use the Services in violation of securities laws, consumer protection laws, privacy laws, anti-discrimination laws, export laws, sanctions laws, or other applicable regulations;
  • resell, sublicense, or commercially exploit the Services unless expressly authorized by FFP.

14. Compliance With Laws

You are solely responsible for complying with all laws applicable to your use of the Services.

Depending on your use case, applicable laws may include, without limitation:

  • privacy and data protection laws;
  • cybersecurity laws;
  • securities and investment laws;
  • anti-fraud laws;
  • anti-money laundering and sanctions laws;
  • consumer reporting laws;
  • employment and background-check laws;
  • anti-discrimination laws;
  • contractual confidentiality obligations;
  • cross-border data transfer restrictions.

You agree not to use the Services in any manner that would cause FFP to violate applicable law.

15. Consumer Reports and Regulated Data

Unless FFP expressly states otherwise in a written agreement, the Services are not intended to be used as a “consumer report,” “investigative consumer report,” credit report, employment background check, tenant screening report, insurance eligibility report, or similar regulated report under the Fair Credit Reporting Act or similar laws.

You agree not to use the Services to determine any individual’s eligibility for credit, employment, housing, insurance, government benefits, education, or any other purpose regulated by consumer reporting laws unless FFP has expressly authorized such use in writing and all legal requirements are satisfied.

If you request or use regulated data, you are responsible for ensuring that you have a permissible purpose, required consent, required notices, and all other legally required authorizations.

16. Publicly Available Information

As part of the Services, FFP may collect, process, analyze, and display information that is publicly available from websites, public databases, government records, corporate registries, news sources, company websites, investor materials, professional profiles, and other lawful public sources. FFP uses such information to support business verification, due diligence, fraud detection, risk assessment, and investment-related decision support. Publicly available information may include company information and limited professional information relating to founders, executives, officers, directors, or other business contacts. FFP does not intend to collect sensitive personal information through automated scraping and will use commercially reasonable measures to limit collection to information relevant to business due diligence. Individuals or companies may contact FFP to request review, correction, or removal of information where required by applicable law.

17. Investment and Securities Compliance

The Services may assist users in evaluating investment opportunities, startups, portfolio companies, founders, market risks, financial risks, and related materials.

FFP is not a broker-dealer, investment adviser, funding portal, securities exchange, crowdfunding intermediary, underwriter, placement agent, or fiduciary.

Nothing in the Services constitutes:

  • an offer to sell securities;
  • a solicitation to buy securities;
  • investment advice;
  • a recommendation regarding any investment;
  • a guarantee of investment performance;
  • a fairness opinion;
  • a valuation opinion;
  • legal or regulatory approval of any transaction.

Users are solely responsible for compliance with securities laws and investment regulations.

18. Scores, Ratings, Reports, and Risk Indicators

The Services may generate scores, rankings, suitability indicators, risk flags, summaries, reports, alerts, dashboards, or recommendations.

These outputs are based on available information, configured rules, third-party sources, AI models, and platform logic.

You acknowledge that such outputs:

  • are not guarantees;
  • may not identify every risk;
  • may incorrectly identify risks;
  • may depend on incomplete or outdated data;
  • may require professional review;
  • should be used as one input among many in your decision-making process.

FFP is not liable for any decision made based on scores, reports, alerts, or outputs.

19. Subscription Plans, Fees, and Payment

Certain Services may be offered through free trials, transaction-based packages, monthly subscriptions, annual subscriptions, enterprise plans, or custom pricing.

You agree to pay all fees associated with your selected plan.

Unless otherwise stated:

  • fees are due in advance;
  • fees are non-refundable except as required by law or expressly stated by FFP;
  • subscriptions automatically renew unless cancelled before the renewal date;
  • FFP may change pricing upon notice;
  • taxes, payment processing fees, and third-party charges may apply.

Failure to pay fees may result in suspension or termination of access.

20. Free Trials and Beta Features

FFP may offer free trials, pilot programs, beta features, early access tools, or MVP-stage services.

Beta or trial features may be incomplete, experimental, unstable, or subject to change.

FFP may modify, suspend, limit, or discontinue beta or trial access at any time.

Beta services are provided “as is” and without warranties of any kind.

21. Intellectual Property

FFP and its licensors own all rights, title, and interest in and to the Services, including software, models, workflows, algorithms, scoring systems, dashboards, interfaces, designs, reports, templates, trademarks, trade secrets, documentation, and platform technology.

Except for the limited right to use the Services under these Terms, no rights are granted to you.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Services except as expressly permitted by FFP.

22. Feedback

If you provide feedback, suggestions, ideas, comments, or recommendations regarding the Services, you grant FFP a perpetual, irrevocable, worldwide, royalty-free license to use such feedback without restriction or compensation.

23. Security

FFP uses commercially reasonable administrative, technical, and organizational safeguards designed to protect the Services and User Content.

However, no system is completely secure.

You are responsible for:

  • maintaining secure credentials;
  • using strong passwords;
  • limiting account access;
  • promptly reporting suspected unauthorized access;
  • ensuring your own systems and devices are secure.

FFP does not guarantee that unauthorized third parties will never defeat security measures.

24. Data Retention and Deletion

FFP may retain User Content and account information for as long as necessary to provide the Services, comply with legal obligations, resolve disputes, enforce agreements, maintain security, and support legitimate business purposes.

You may request deletion of certain information as described in the Privacy Policy.

FFP may retain copies where required by law, backup systems, audit logs, fraud prevention obligations, dispute records, or legitimate business needs.

25. Service Availability

FFP aims to provide reliable access to the Services but does not guarantee uninterrupted, error-free, or continuous availability.

The Services may be unavailable due to:

  • maintenance;
  • system upgrades;
  • outages;
  • third-party provider failures;
  • cybersecurity incidents;
  • force majeure events;
  • changes to integrations or data sources.

FFP is not liable for service interruptions, delays, or loss of access.

26. Modifications to the Services

FFP may modify, enhance, suspend, discontinue, or replace any part of the Services at any time.

This includes changes to features, modules, scoring logic, AI models, reports, pricing, dashboards, third-party integrations, data sources, and subscription tiers.

FFP will use reasonable efforts to provide notice of material changes where required.

27. Account Suspension and Termination

FFP may suspend or terminate your access to the Services if:

  • you violate these Terms;
  • you fail to pay fees;
  • your use creates legal, security, reputational, operational, or regulatory risk;
  • your account is suspected of fraud or misuse;
  • required by law;
  • continued access may harm FFP, users, third parties, or the Services.

You may stop using the Services at any time.

Termination does not relieve you of payment obligations incurred before termination.

28. Disclaimers

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FFP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND RELIABILITY.

FFP DOES NOT WARRANT THAT:

  • THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED;
  • OUTPUTS WILL BE ACCURATE, COMPLETE, CURRENT, OR RELIABLE;
  • RISKS, FRAUD, MISREPRESENTATIONS, OR LEGAL ISSUES WILL ALWAYS BE DETECTED;
  • ANY INVESTMENT OR TRANSACTION WILL BE SUCCESSFUL;
  • THIRD-PARTY DATA WILL BE ACCURATE OR AVAILABLE;
  • THE SERVICES WILL MEET YOUR SPECIFIC NEEDS.

29. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FFP WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOSS OF GOODWILL, LOSS OF DATA, INVESTMENT LOSSES, OR BUSINESS INTERRUPTION.

FFP’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF:

  • THE AMOUNTS PAID BY YOU TO FFP FOR THE SERVICES IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY; OR
  • ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply.

30. Indemnification

You agree to defend, indemnify, and hold harmless FFP, its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • your use of the Services;
  • your User Content;
  • your violation of these Terms;
  • your violation of applicable law;
  • your violation of third-party rights;
  • your investment, business, legal, or financial decisions;
  • your failure to obtain required consent or authorization;
  • your misuse of reports, scores, outputs, or third-party data.

31. Third-Party Services

The Services may link to, integrate with, or rely on third-party websites, APIs, databases, data providers, cloud providers, payment processors, analytics tools, verification providers, or other services.

FFP is not responsible for third-party services, content, data, policies, security, availability, or practices.

Your use of third-party services may be subject to separate terms and privacy policies.

32. Export Control and Sanctions

You may not use the Services if you are located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive sanctions, or if you are on any restricted-party list.

You agree not to use, export, re-export, or transfer the Services in violation of applicable export control or sanctions laws.

33. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

34. Dispute Resolution

Before filing any legal claim, the parties agree to attempt in good faith to resolve disputes informally by providing written notice and allowing at least thirty (30) days for resolution.

If the dispute is not resolved informally, any dispute arising out of or relating to these Terms or the Services will be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.

The arbitration will take place in Seattle, Washington, unless the parties agree otherwise.

Each party waives the right to a jury trial and agrees that disputes will be brought only on an individual basis, not as a class action, collective action, or representative action.

Either party may seek injunctive or equitable relief in court to protect intellectual property, confidential information, or security interests.

35. Changes to These Terms

FFP may update these Terms from time to time.

If changes are material, FFP will provide notice by posting the updated Terms, sending an email, or providing in-platform notice.

Your continued use of the Services after updated Terms become effective means you accept the revised Terms.

If you do not agree to the revised Terms, you must stop using the Services.

36. Notices

FFP may provide notices through the portal, by email, or by posting on its website.

37. Assignment

You may not assign or transfer these Terms without FFP’s prior written consent.

FFP may assign these Terms in connection with a merger, acquisition, financing, corporate restructuring, sale of assets, or by operation of law.

38. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

39. Entire Agreement

These Terms, together with the Privacy Policy and any applicable order form, subscription terms, data processing agreement, consent form, or written agreement, constitute the entire agreement between you and FFP regarding the Services.

40. Acceptance

By creating a profile, registering an account, clicking “I Agree,” accessing the portal, uploading information, or using the Services, you acknowledge that you have read, understood, and agree to these Terms and the Privacy Policy.
